Planned expansion of the management team and personnel changes at Caterna

Dear Companists,

As already reported, we started to expand our marketing and sales strategy with relevant digital components in the last two weeks and are thus following a new path. We are currently working on their implementation (Read the previous update) and will report more on this in the near future.

Change of personnel at the top

As mentioned in the latest updates, we are currently restructuring our business model and implementing a new, digital form of patient communication and marketing strategy. This model will initially complement our old focus on physicians and potentially replace it in the future. Sometimes a change at the top is necessary to establish such a reorientation. For this reason, the existing company management under Michael Scherrer and the advisory board have agreed upon restructuring at the top.

Michael joins the advisory board

Michael will join the advisory board on 1 October 2018. There he will continue to support us in an advisory capacity and contribute his many years of experience with Caterna, the German healthcare market, and the health insurance landscape towards the future of Caterna. We are very pleased that he will remain with us as a shareholder and member of the advisory board and that he will continue to contribute his knowledge!

Michael Scherrer has been the managing director of Caterna since 2015. He participated in the company and worked hard to develop it into a company that is now established in the primary healthcare market.  We owe the fact that Caterna is now known to almost all ophthalmologists and orthoptists and that Caterna therapy is already covered by 21 health insurance companies to his tireless commitment, for which we are very grateful.

Jana Frömke – new CEO

Jana Frömke took Michael's place on 21 September. Jana holds a degree in business administration with more than 15 years of professional experience in consulting, controlling, and corporate finance. Her focus is on the operational development of companies, the design and implementation of financing models, and the consulting of startups. She and her partner have also been successfully managing a commercial law firm for legal advice and consulting in Berlin since 2016. Jana's goal for Caterna's future is to implement the new concept and thereby strengthen Caterna's success. Since the end of 2017, Jana has also been responsible for supporting Caterna in it's controlling and corporate planning activities. In this function she also got to know the investors and works closely with the advisory board. With this background, we think she is very suitable for the role of CEO and we look forward to working with her successfully!

Markus Balser – new CMO

Markus Balser has been supporting Jana since 1 September 2018. As CMO and member of the management board, Markus is responsible for the reorientation of marketing and the expansion of digital business models. Together with Jana, he is responsible for the operative business. After completing his bachelor's degree in Germany with stays abroad in the USA, Markus studied International Management with a focus on Strategy and Entrepreneurship in Lisbon with a semester abroad in Tel Aviv. Prior to Caterna, he was COO of a startup in Berlin and was responsible for setting up new digital business models for corporate clients as project manager and entrepreneur of a digitalization consultancy. Markus is well connected in the Berlin startup scene and also knows the digital health sector and the health market from previous activities. What Markus particularly likes about his new position at Caterna is that he can contribute his digital knowledge from the B2C and B2B sectors to a startup that is already established in the primary healthcare market.

"Dual leadership" for the future

This new management combines everything that Caterna needs for the coming months and years to make its business more digital, secure its financing, and make it even more successful! We look forward to starting the next chapter of Caterna together with you, our Companists!

Best greetings,

Jana Frömke, Michael Scherrer, Markus Balser and the entire Caterna team

Investments in startups and growth companies offer great opportunities, but they are risk investments. In the worst case, the entire investment amount may be lost. Consequently, investments in startups or growth companies are unsuitable for retirement plans. However, there is no obligation to make further contributions. Investors can minimize their risk by diversifying the amount they invest in startups and growth companies and not investing the entire amount in one startup or growth company. Professional investors often follow this strategy because it causes the risk to be distributed among several investments. In this way, successful investments can balance other less successful investments.

The shares of the investors on Companisto are subordinated profit-participating loans (partiarische Nachrangdarlehen). Such loans are shares in a business with similar characteristics as equity. If the company becomes insolvent or is liquidated, the claims of the investors (Companists) – just like those of all other shareholders of the company – will be satisfied from the assets in the insolvency or the assets in liquidation only after the claims of all other external creditors have been satisfied. Thus, Companists are treated like any other shareholder of the company during insolvency or liquidation proceedings.

The company information published on the Companisto website is provided solely by the companies. The projections made by the companies do not guarantee successful development of the company in the future. Consequently, investments in startups and growth companies are suitable only for those investors who can cope with the risk of a total loss of the capital invested. Investors make their own independent investment decisions and bear all risks themselves.

The investments are provided and issued by the individual companies. Companisto is neither the provider nor the issuer of the investments, but solely the internet service platform.
