VC invests 1.5 million euros in EN3 in the course of current crowdfunding round

Dear Companists,

First, we want to wish you all a happy 2015! And we have some outstanding news for you as well:

We are delighted to inform you that EN3 will be receiving 1.5 million euros from a European venture capital fund!

As far as we know, this sum constitutes the largest investment amount ever pledged during a crowdfunding round in Germany. Please note that, at this point, all parties involved have agreed to maintain absolute confidentiality. 

 

No dilution

In absolute terms, EN3 is worth 1.5 million euros (or 25%) more after the investment than at the beginning of the crowdfunding campaign.

The VC will invest at the same valuation as the Companists resulting in confirmation of the valuation. The best thing about this is that, due to the Companisto contracts, the shares held by Companists will not be diluted. 

 

Second Closing

In a second step (second closing), additional investors with whom we are currently negotiating very intensively intend to provide us with another investment of the same amount. In total, we could be looking at almost 3 million euros from VCs. 

  

What the investment means for us

Thanks to the investment, we now have the necessary means to work at full speed in the next 12 months and can tackle further development stages. We will surely have more news for you soon.

Furthermore, and completely independent of the VC investment, our application for the EU Horizon 2020 program is still pending. The program supports the best and most innovative companies in Europe (for more information, please click here).

 

Technological potential confirmed once again

In the course of this crowdfunding round and the related due diligence process, renowned German and Swiss experts have once again confirmed the huge technological potential of the EN3 expander.

Note

Investments in crowdfunding projects offer great opportunities, but they are risk investments. In the worst case, the entire investment amount may be lost. Consequently, these investments are unsuitable for retirement plans. However, there is no obligation to make further contributions. Investors can minimize their risk by splitting their investment amount between crowdfunding campaigns rather than investing all of it in one crowdfunding campaign. The shares of the Companists are subordinated profit-participating loans (partiarische Nachrangdarlehen). Such loans are shares in a business with similar characteristics as equity. If the company becomes insolvent or is liquidated, the claims of the Companists – just like those of all other shareholders of the company – will be satisfied from the assets in the insolvency or the assets in liquidation only after the claims of all other external creditors have been satisfied. Thus, Companists are treated like any other shareholder of the company during insolvency or liquidation proceedings.

The projections made by the companies do not guarantee successful development of the company in the future. Consequently, crowdfunding investments are suitable only for those investors who can cope with the risk of a total loss of the capital invested.
